These Terms and Conditions of Service and Use of sdhousecleaners.com website (referred to as “Website”, and sometimes referred to herein as “Site” or “we” or” us” or “our” or “Company”) are hereby made effective, and, without waiving or otherwise releasing any right or obligation under any prior terms and conditions of the use of Suddenly Clean LLC hereby amend and restate any such prior terms and conditions.

SECTION 1- DEFINITIONS

“Website” means the sdhousecleaners.com website operated by Suddenly Clean LLC.

“Client” means a User that books Suddenly Clean LLC’s Services through the Website.

“Services” means all the cleaning-related services provided by Suddenly Clean LLC.

“Service Providers” means the person or cleaning crew assigned by Suddenly Clean LLC for the booked Services.

“User“, “you” or “your” means an individual who visits or uses the Website.

SECTION 2- ACCEPTANCE

By clicking “I AGREE” and/or simply by using or accessing our Services and this Website, you hereby agree:

(a) that you have received, read, and understood these Terms and Conditions, and that these Terms and Conditions create a valid and binding agreement, enforceable against you in accordance with the terms hereof,

(b) to be bound by these Terms and Conditions, any terms, conditions, or other rules, regulations, or policies of Suddenly Clean LLC as each may be amended or supplemented from time to time in our sole discretion without notice, and

(c) that your use of our Services and our Site shall comply with all applicable federal, state, and local laws, rules, or regulations, and that you are solely responsible for your compliance with, familiarity with, and understanding of any such laws, rules, or regulations applicable to your use of the Site. If you do not agree with any portion of these Terms and Conditions, you are prohibited from using or accessing our Services.

SECTION 3- PERSONAL RESPONSIBILITY

You aim to accurately represent the information provided to us on or through our Website. You acknowledge that you are participating voluntarily in using our Website and that you are solely and personally responsible for your choices, actions, and results, now and in the future.

You accept full responsibility for the consequences of your use, or non-use, of any information provided on or through this Website, and you agree to use your own judgment and due diligence before implementing any idea, suggestion, or recommendation from our Website to your life, family or Service.

SECTION 4- BOOKING OBLIGATIONS

Anyone can browse our website without registering for an account. However, you will be required to provide your personal information (including but not limited to your name, phone, email, home address, and payment information) with us in order to successfully book the Services. You agree to provide and maintain true, accurate, current, and complete information about yourself as prompted by our booking form. Your personal data and certain other information about you are governed by our Privacy Policy.

In the case of addresses that are irregular or difficult to locate, it is the responsibility of the Client to clearly mark special instructions. Failure to do so may result in a delay, or the booking being canceled by Suddenly Clean LLC.

By providing your personal information, you agree and understand that the information and material contained in this Website imply and constitute your consent to these terms and conditions as well as our Privacy Policy.

Once your booking has been confirmed by us, we will appoint a Service Provider who will be assigned to perform the Services you request. You will receive a confirmation on your registered phone number and your email address.

SECTION 5- OUR SERVICES AND ADD ONS

Our Services are offered on Suddenly Clean LLC through either offers, which are fixed price services; or custom services with add-ons. There are 3 main services that we offer which are:

SECTION 6- CLEANING DAY PREPARATION

The Client represents and warrants that:

it will provide a safe working environment at the premises for the Service Providers to perform the Services;
the Service Providers will have unencumbered and unobstructed access to those areas of the premises requiring the Services;
it will provide the Service Providers with access to all services and utilities (including hot and cold water, electricity, and bins) as required by Suddenly Clean LLC to provide the Services;
it will advise Service Providers prior to the commencement of the Service of any hazards, slippery surfaces, risks, or dangers;
it is authorized to use the premises and obtain the provision of Services;
it will secure or remove any fragile, delicate, breakable, or valuable items, including cash, jewelry, works of art, antiques, or items of sentimental value prior to the commencement of the Service;
it will ensure to disable or turn off any alarms present in the premises that may interfere during the appointment;

In addition to the obligations and warranties set out in the clause above, the Client acknowledges and agrees that:

the Service Providers are entitled to undertake a job safety analysis before the commencement of any work to assess the health and safety risk at the premises;
the Service Providers may, either before or during the provision of the Service not provide or cease the provision of the Service where carrying out the Service presents, in the absolute discretion of the Suddenly Clean LLC, a risk to health and safety.
the Client must agree to keep children and pets or dependents away from the premises;
the Client must ensure that the environment that the Client is inviting the Service Providers to work in, is a safe environment free from electrical or structural hazards.

SECTION 7- USER CONDUCT

Suddenly Clean LLC has an obligation to conduct its Service in accordance with all applicable rules, regulations, and laws. We are committed to helping all Users act in a way that preserves trust and respect. This code is meant as a guide to using our Website appropriately and must be followed at all times. Breaches of this Code will result in disciplinary action, up to, and including, account termination.

You will act ethically and with integrity.
You will comply with all of Suddenly Clean LLC’s policies.
You will respect the rights of all Users.
You will not abuse confidential information, or participate in any other illegal practice.
You will have regard for Users’ interests, rights, and safety.
You will not harass, bully or discriminate.
You will not falsify your own or any other identity and You will provide true and correct information.
You will mutually seek to communicate or receive/initiate payments off-site.
You will not abuse the Services offered by your Suddenly Clean LLC.
You will not engage in fraud.
You will not use the Website to generate false feedback about any person, Service, or Service.
You will respect confidentiality and privacy.
You will not disclose information or documents you have acquired, other than as required by law or where authorization is given by Suddenly Clean LLC.
You will not participate in projects involving illegal behavior.
You will avoid exaggeration, derogatory remarks, and inappropriate references.
You will not engage in personal attacks, negative or other unfair criticism, or any unprofessional conduct.
You will not spam or advertise your website or Service unless otherwise allowed.

SECTION 8- SERVICE PROVIDERS

Suddenly Clean LLC hires reliable professionals who are properly trained for the Services that your house needs. We make sure they are drug tested and their backgrounds are properly checked.

SECTION 9- PAYMENT AND REFUNDS

Prices for Services are quoted on the Service listing. Our website contains a large number of Services and it is always possible that some of the prices on the website may be incorrect. We will verify prices as part of our sale procedures so that a Service’s correct price will be stated when you pay for the Service.

Service descriptions, typography, pricing, and photographic errors are unintentional and subject to correction. We regret but are not liable for such errors. We reserve the right to reject any bookings placed for a Service listed at an incorrect price. If you discover an error in our website or catalog, please let us know.

Prices for Services are liable to change at any time, but changes will not affect contracts that have come into force. If you dispute any payment made to us you must contact us immediately and provide full details of your claim.

Due to the nature of our Services, we do not provide any refunds once the Services have been performed on the premises. If you believe there are any quality issues with our Services, you can contact us (preferably attached with the photographs and videos regarding the issues).

SECTION 10- SERVICE FEES

Your card will not be charged until we have finished with the Services. The Booking Fee during the Booking is not the final amount. The final payment amount can be different from your Booking fees if the Service Providers undertake extra Services or any add-ons that were requested by the Clients during the appointment. Suddenly Clean LLC reserves the right to adjust the price for the cleaning Services depending upon the house condition, dimensions, and hours required to finish the job.

You represent and warrant that if you are making online payments that (i) any credit card, debit card, and bank account information you supply is true, correct, and complete, and (ii) charges incurred by you will be honored by your credit/debit card company or bank, (iii) you will pay the charges incurred by you in the amounts posted, including any applicable taxes, and (iv) you are the person in whose name the card was issued and you are authorized to make a purchase or other transaction with the relevant credit card and credit card information.

SECTION 11- REFUSAL OF SERVICES

While we will use our best efforts to fulfill all bookings, we cannot guarantee the availability of any particular Service displayed on the Site. We reserve the right to discontinue the bookings of any Service listed on the Site at any time without notice.

We reserve the right, at our sole discretion, to refuse or cancel any booking for any reason.

SECTION 12- BROKEN/DAMAGED ITEMS

Our Service Providers are professionals and trained to avoid breaking or damaging any valuables during the commencement of the Services. Regrettably and although not common, from time to time something may be broken or damaged. If our professionals damage anything during the service being provided, we will notify the customer immediately. In the event an item is damaged or broken, we reserve the option to repair or replace the item. We cannot take responsibility for items that were broken because they were not properly attached or secured. It is always advised to our Clients to remove and secure any valuables and fragile items from the premises to avoid potential accidents.

SECTION 13- RESCHEDULING

Once your booking has been confirmed, you can always reschedule your booking on your account as per your availability.

SECTION 14- KEY RELEASE AND LOCKOUTS

The client agrees to hand out the keys to the premises that are to be cleaned by our professionals before the commencement date. You are not advised to place the keys in an unguarded and unsecured location where they can be accessed by anyone. Suddenly Clean LLC will not be responsible for any damages or break-ins in such circumstances.

In case our Service Providers fail to enter the premises in a lock-out situation, they will try to establish contact with the Client, failing upon which may result in rescheduling the Services and a potential cancellation with a cancellation fee.

SECTION 15- ARRIVAL WINDOW

If you wish to be present during the appointment, please be advised that we provide arrival windows for up to 4 Hours. Your Service Providers will arrive anytime within your scheduled arrival window. You are expected to be present or have made arrangements for us to gain access to your premises within your scheduled arrival window. Failure to do so may result in having to cancel or reschedule your visit.

SECTION 16- NON-SOLICITATION OF EMPLOYEES

All the Service Providers are under a non-compete contract with Suddenly Clean LLC. All of our staff have signed a non-compete agreement with Suddenly Clean LLC and they are prohibited from soliciting business from any client on their own behalf or on behalf of any third party during their contract with Suddenly Clean LLC.

SECTION 17- FEEDBACK AND REVIEWS

You acknowledge that you transfer the copyright of any feedback, reputation, or reviews you leave consisting of comments and any rating(s) (e.g., quality, communication, etc.) together with any composite rating by us. You acknowledge that such feedback, reputation, and reviews belong solely to us, notwithstanding that we permit you to use it on our website while you remain a User. You must not use, or deal with, such feedback, reputation, and reviews in any way inconsistent with our policies as posted on the Website from time to time without our prior written permission.

You may not do (or omit to do) anything that may undermine the integrity of the Suddenly Clean LLC feedback system. We are entitled to suspend or terminate your Account at any time if we, in our sole and absolute discretion, are concerned by any feedback about you, or your feedback rating, where we believe our feedback system may be subverted.

SECTION 18- INDEMNIFICATION

You agree to defend, indemnify and hold Suddenly Clean LLC and our members, owners, directors, officers, employees, and agents harmless from any and all claims, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising in any way from any content or other material you place on the Website or submit to us, or your breach or violation of the law or of these Terms and Conditions. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of the such claim.

SECTION 19- DISCLAIMER OF WARRANTIES

WE DO NOT: (I) GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY THIRD-PARTY CONTENT ON THE WEBSITE OR ANY SERVICES AVAILABLE ON OR (II) ADOPT, ENDORSE OR ACCEPT RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE, OR STATEMENT MADE BY Suddenly Clean LLC OR ANY PARTY THAT APPEARS ON THE WEBSITE. UNDER NO CIRCUMSTANCES WILL WE BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR RELIANCE ON INFORMATION OR OTHER CONTENT POSTED ON OR AVAILABLE FROM THE WEBSITE.

SECTION 20- LIMITATION OF LIABILITY

IN NO EVENT, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, WILL WE OR ANY OF OUR DIRECTORS, MEMBERS, OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTENT OR Suddenly Clean LLCS (COLLECTIVELY, THE “PROTECTED ENTITIES”) BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM, OR DIRECTLY OR INDIRECTLY RELATED TO, THE USE OF, OR THE INABILITY TO USE, THE WEBSITE OR THE CONTENT, MATERIALS, SERVICES, AND FUNCTIONS RELATED TO THE WEBSITE, YOUR PROVISION OF INFORMATION VIA THE WEBSITE, LOST SERVICE OR LOST SALES, EVEN IF SUCH PROTECTED ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO CERTAIN USERS TO THE EXTENT REQUIRED BY APPLICABLE LAW.

SECTION 21- WAIVERS

Our failure to act with respect to a breach of these Terms and Conditions by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches.

SECTION 22- FORCE MAJEURE

Neither party hereto shall be responsible for delays or failures in performance resulting from acts beyond its reasonable control and without its fault or negligence. Such excusable delays or failures may be caused by, among other things, strikes, lock-out, riots, rebellions, accidental explosions, floods, storms, acts of God, and similar occurrences.

SECTION 23- MAINTENANCE

We may at its sole discretion and without assigning any reason whatsoever at any time deactivate or/and suspend the User’s access to the Services (as the case may be) without giving any prior notice, to carry out system maintenance or/and upgrading or/and testing or/and repairs or/and other related work. Without prejudice to any other provisions of this Agreement, we shall not be liable to indemnify the User for any loss or/and damage or/and costs or/and expense that the User may suffer or incur.

SECTION 24- INTERNATIONAL USERS

This website is located and managed in the State of California in the United States of America. If you access the Services from a country other than the United States, you agree that your transactions with Suddenly Clean LLC occur in the United States. You are responsible for compliance with all applicable laws, rules, and regulations applicable to your use of the Services.

SECTION 25- GOVERNING LAW AND JURISDICTION

These Terms and Conditions will be governed by and construed in accordance with American law, and the courts of California, USA will have non-exclusive jurisdiction to adjudicate any dispute arising under or in relation to these terms of sale.

SECTION 26- THIRD-PARTY LINKS

Third-party links on this Website may direct you to third-party sites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or sites, or for any other materials, Services of third parties.

SECTION 27- MODIFICATIONS

Suddenly Clean LLC shall at its discretion be entitled to modify the terms and conditions of the terms of use and qualifications and conditions mentioned herein. The User at all times shall be bound by the rules/regulations/qualifications/conditions (as may be altered) at all times and no person shall be entitled to dispute/challenge any such modifications by Suddenly Clean LLC from time to time.

SECTION 28- TERMINATION

We may terminate, change, suspend, or discontinue any aspect of the Website or the Website’s Services at any time. We may restrict, suspend or terminate your access to the Website and/or its Services if we believe you are in breach of these Terms and Conditions or applicable law, you are a repeat infringer of intellectual property rights, or for any other reason without notice or liability.
